Notice of Binding Arbitration
THESE TERMS CONTAIN A BINDING ARBITRATION CLAUSE AND A CLASS ACTION WAIVER. BY ACCESSING THE YIOKO NETWORK OR SUBMITTING A DOSSIER FOR KYC VERIFICATION, YOU AGREE TO RESOLVE ALL DISPUTES THROUGH BINDING, INDIVIDUAL ARBITRATION AND WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
This Master Legal Protocol (the "Agreement") is a legally binding contract between you (the "Entity", "Client", or "Partner") and YIOKO Digital Trust Authority & Infrastructure Holdings ("YIOKO", "we", "us", or "our"). This Agreement governs your access to and use of the Yioko.com website, our edge-computing infrastructure, corporate verification services, and associated digital products (collectively, the "Network").
By transmitting a dossier, executing the Reverse Handshake email protocol, or utilizing any YIOKO subdomain (e.g., company.yioko.com), you represent and warrant that you possess the legal authority to bind your corporate entity to these terms.
1. The Share Capital / Equity Model
Unlike traditional cloud providers (e.g., AWS, Vercel, Shopify), YIOKO does not charge metered monthly subscription fees for verified partners. In consideration for deploying, hosting, scaling, and securing the Client’s digital infrastructure, the Client agrees to enter into a mutual Share Capital, Equity, or Revenue-Share partnership with YIOKO.
- Bespoke Agreements: The specific percentage of equity, token allocation, or revenue share will be negotiated and executed in a separate, definitive corporate agreement (e.g., a SAFE, Token Warrant, or Shareholder Agreement) inside the secure YIOKO Executive Channel.
- No Fiduciary Duty: YIOKO operates strictly as an infrastructure holding company and technology provider. The provision of free hosting in exchange for equity does not create a joint venture, partnership, or fiduciary relationship. YIOKO claims no liability for the operational, financial, or legal decisions made by the Client's business.
- Right of Refusal: YIOKO reserves the absolute right to reject any application, at any time, for any reason, without providing justification, prior to the execution of a definitive equity agreement.
2. Strict KYC / AML Verification & Compliance
YIOKO operates as a Digital Trust Authority. To prevent domain spoofing, fraud, and cybercrime, all prospective partners must pass our strict Know Your Customer (KYC) and Anti-Money Laundering (AML) audit.
- The 48-Hour Protocol: Upon dossier submission, the Client has exactly 48 hours to securely transmit valid certificates of incorporation, tax identification, and executive proof of identity (passports/government IDs) to our intelligence team.
- Falsification Penalty: If YIOKO determines, in its sole discretion, that submitted documents are forged, altered, or belong to sanctioned individuals (e.g., OFAC, UN, or EU sanctions lists), the application will be permanently terminated, and the associated IP addresses and entity details will be permanently blacklisted.
- Continual Auditing: YIOKO reserves the right to periodically re-audit active partners to ensure continued compliance with global corporate laws.
3. Subdomain Ownership & Revocable License
When a Client is approved, YIOKO may assign a digital routing asset (e.g., client.yioko.com).
All *.yioko.com subdomains remain the exclusive, permanent intellectual property of YIOKO. The Client is granted a limited, non-exclusive, non-transferable, and highly revocable license to utilize the assigned subdomain strictly for the duration of the partnership. YIOKO may seize, suspend, or permanently delete the subdomain without prior notice if the Client violates the Acceptable Use Policy.
4. Acceptable Use Policy (AUP)
The YIOKO Network must not be used to transmit, host, or distribute illegal, harmful, or abusive content. Engaging in any of the following activities will result in immediate network termination and asset seizure:
- Financial Fraud: Phishing, ponzi schemes, unlicensed initial coin offerings (ICOs), rug-pulls, or any unregistered financial solicitation. Web3 and FinTech entities must prove active regulatory compliance in their operating jurisdictions.
- Malware & Cybercrime: Distributing viruses, trojans, ransomware, or operating botnets and DDoS infrastructure.
- Copyright Infringement (DMCA): Hosting pirated media, stolen intellectual property, or engaging in unauthorized data scraping.
- Regulated Goods: The sale of unverified pharmaceuticals, illegal narcotics, unregistered firearms, or explicitly illicit adult materials.
- Deceptive Practices: Operating fake review farms, manipulative dropshipping networks, or impersonating third-party brands.
5. Infrastructure "As Is" & Uptime Limitations
While YIOKO utilizes state-of-the-art Edge networking, DDoS mitigation, and distributed databases (Turso/Supabase), the YIOKO Network is provided on an "AS IS" and "AS AVAILABLE" basis.
YIOKO makes no guarantees, expressed or implied, regarding 100% network uptime, latency, or data permanence. We expressly disclaim any implied warranties of merchantability or fitness for a particular purpose. YIOKO shall not be held liable for any financial losses, lost revenue, or reputational damage resulting from server downtime, database corruption, malicious cyber-attacks, or accidental data loss. Clients are heavily advised to maintain independent, offline backups of their critical corporate data.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL YIOKO, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THIS SERVICE.
Because YIOKO provides its hosting infrastructure at a cost of $0.00/month, YIOKO’s total, aggregate liability for any claims arising out of or relating to this Agreement shall be strictly limited to the sum of One Hundred United States Dollars ($100.00 USD).
7. Indemnification
You agree to defend, indemnify, and hold harmless YIOKO and its licensees, licensors, employees, contractors, agents, and officers from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the YIOKO Network; (b) your violation of any term of this Agreement; (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (d) any claim that your digital assets caused damage to a third party.
8. Global Data Processing & Privacy Policy
YIOKO complies with international data protection frameworks, including the GDPR (Europe) and CCPA (California).
8.1 YIOKO as a Data Processor
For any end-user data collected by the Client’s hosted application (e.g., the Client's customers), the Client is the Data Controller, and YIOKO acts strictly as the Data Processor. The Client holds absolute legal responsibility for obtaining consent from their users, managing data deletion requests, and ensuring their data collection complies with local laws. YIOKO’s sole responsibility is providing the encrypted vault architecture (AES-256-GCM) to store said data.
8.2 Data Collection by YIOKO
YIOKO collects corporate intelligence data (KYC documents, passports, tax IDs) solely for the purpose of verifying business legitimacy and establishing equity partnerships. This data is vaulted in highly secure, air-gapped environments and is never sold, traded, or distributed to third-party marketing firms. YIOKO may surrender this data only if served with a legally binding subpoena by an authorized international law enforcement agency (e.g., Interpol, FBI, Europol).
9. Governing Law & Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates (UAE) and the regulations of the Dubai Multi Commodities Centre (DMCC), without regard to its conflict of law provisions.
Any dispute, controversy, or claim arising out of or relating to this contract, or the breach, termination, or invalidity thereof, shall be settled by binding arbitration in accordance with the rules of the Dubai International Arbitration Centre (DIAC). The language to be used in the arbitral proceedings shall be English.
10. Modifications to the Protocol
YIOKO reserves the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice to verified partners via the Executive Channel prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Network after those revisions become effective, you agree to be bound by the revised terms.
